1. Agreement to Terms

By accessing or using FSW Learn ("the Platform"), operated by First Source World Pty Ltd ("FSW", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.

2. Description of Service

FSW Learn is a multi-tenant eLearning platform that enables educational institutions, organizations, and instructors to create, manage, and deliver online courses. Our services include:

• Course creation and management tools
• Student enrollment and progress tracking
• Assessment and quiz functionality
• Certificate generation and verification
• Organization-specific learning portals
• API access for integration purposes

3. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover any unauthorized use of your account
• Not share your account credentials with third parties

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree not to use the Platform to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any activity that interferes with or disrupts the Platform or servers
• Attempt to gain unauthorized access to any portion of the Platform or any systems or networks connected to it
• Use any automated system to access the Platform in a manner that sends more requests than a human can reasonably produce
• Collect or harvest any information about other users without their consent
• Violate any applicable laws or regulations

5. Content and Intellectual Property

You retain ownership of content you create and upload to the Platform. By uploading content, you grant FSW a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our services.

Course content, assessments, and materials created by instructors remain the intellectual property of the respective content creators. Students may use such materials only for personal, non-commercial educational purposes.

The FSW Learn platform, including its original content, features, and functionality, is owned by First Source World Pty Ltd and is protected by international copyright, trademark, and other intellectual property laws.

6. Certificates and Credentials

Certificates issued through the Platform represent completion of specific courses or programs as determined by the issuing organization. FSW does not guarantee the accuracy of certificate information beyond what is recorded in our system. Each certificate has a unique verification ID that can be validated through our public verification portal.

7. Payment and Billing

Some features of the Platform require payment. By subscribing to paid services, you agree to pay all applicable fees as displayed at the time of purchase. All payments are non-refundable except as expressly stated in these Terms or required by law.

Organizations with tenant portals are responsible for payment of subscription fees and any applicable overage charges. Failure to pay may result in suspension or termination of services.

8. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

Organizations may request termination of their tenant portal. Upon termination, we will provide reasonable access to retrieve your data for a period of 30 days, after which all data may be permanently deleted.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRST SOURCE WORLD PTY LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM.

Our total liability for any claim arising from or related to the Platform shall not exceed the amount you paid, if any, for access to the Platform in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless First Source World Pty Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
